PVH to buy Warnaco for Calvin Klein control

(Reuters) - PVH Corp will buy rival Warnaco Group Inc for about $2.8 billion in a cash-and-stock deal that will give the company control of the Calvin Klein clothing brand.

PVH bought Calvin Klein in 2003 and makes formal and sportswear under that brand, while Warnaco has held the licensing agreements for Calvin Klein jeans and underwear since 1997.

Shares of both companies jumped in premarket trading after they announced the deal on Wednesday.

"Having direct global control of the two largest apparel categories for Calvin Klein - jeans and underwear - will allow us to unlock additional growth potential of this powerful designer brand," PVH Chief Executive Officer Emanuel Chirico said in a statement on Wednesday.

The parties expect the deal to close in early 2013, after which former Warnaco stockholders will own about 10 percent of PVH stock.

The combined business will have $8 billion in annual revenue. PVH said it expected the acquisition to add 35 cents a share to earnings, excluding special items, in the first year and $1 in the third year, when it forecasts annual savings of about $100 million.

The company said it now expected full-year earnings per share to come in at the high end of its October 2 outlook of $6.32 to $6.37 per share excluding special items.

Based on PVH's closing price of $91.50 on Friday, the last day the stock traded, the deal values Warnaco at $68.43 a share for a premium of 34 percent. Trading was closed on Monday and Tuesday due to the Hurricane Sandy.

PVH shares rose to 18.1 percent to $109.21 in premarket trading on Wednesday, while Warnaco jumped 39.2 percent to $70.81.

The deal comes about two years after PVH bought the Tommy Hilfiger brand for about $3 billion to get a bigger foothold in markets like Europe and Asia.

"In taking a look at PVH's Tommy and other acquisitions, they do make valuation a very important component, so without really digging into the numbers, I would think they did not overpay," Morningstar analyst Peter Wahlstrom said.

New York-based Warnaco, which also sells products under brands such as Speedo, Chap, Warner's and Olga, operated 1,759 Calvin Klein retail stores worldwide as of December 31.

PVH is paying $51.75 in cash and 0.1822 of a share of common stock for each Warnaco share.

The deal value is based on Warnaco's 40.87 million shares outstanding as of August 1.

Warnaco's Calvin Klein businesses will be run by Tom Murry, chief executive officer of Calvin Klein.

The company, which competes with Ralph Lauren Corp , Perry Ellis International Inc and Michael Kors Holdings Ltd , said it had commitments for $4.33 billion in financing from Barclays , BofA Merrill Lynch and Citigroup Global Markets Inc .

CEOs Tap Political Leaders To Reduce The Federal Deficit

CEOs from some of the nation?s biggest corporations have called on political leaders in Washington to reduce the federal deficit by increasing tax-revenues and cutting spending.

In a statement signed by more than 80 corporate leaders, the executives said that regardless of who wins control of Congress and the White House in November, the Federal government must include:

?Comprehensive and pro-growth tax reform, which broadens the base, lowers rates, raises revenues and reduces the deficit.?

Heads of companies including AT&T, Bank of America, and Microsoft, among others, put their names to the ?manifesto? that attests tax increases are inevitable ? no matter which party wins on Election Day.

The CEOs believe recommendations of the bipartisan Simpson-Bowles Commission offer an effective framework for a fiscal plan. Those proposals outlined several options, including cutting tax rates for people at all income levels, eliminating some popular tax deductions, and adding them back selectively, as needed.

President Obama believes tax increases on high income earners are necessary and fair to reduce the deficit. Mitt Romney backs a tax overhaul that closes loopholes and spurs economic growth, but he is against raising taxes. The CEOs are calling for an overhaul of the tax code to reduce deductions and loopholes and thus generate more revenue than the current tax code.

A balance approach is needed, and these CEOs are making a lot of sense. The deficit cannot be reduced without cutting spending and increasing tax revenues.

Deficit reduction is not just a Washington political issue or something for the leaders of large corporations to worry about. Interest rates are historically low for borrowers seeking startup loans, infusions of working capital, and business lines of credit.

However, the further the U.S. government gets into debt, the higher interest rates for small business borrowing will go. This will be a hindrance to business growth in the future.

I agree with the CEOs, we need politicians in Washington to stop grandstanding and take rational and equitable steps to cut the deficit.

Believe it or not, parking is the largest revenue generator for many airports.

That?s true across the country, and it?s true in Boise. Parking makes more money than airline fees or rent, than restaurants or other vendors, Boise Airport Director Rebecca Hupp said.

That money goes a long way toward propping up the rest of the airport?s operations, including maintenance and payroll, Hupp said.

Somehow, even as the number of passengers getting on and off planes dropped during the recession, the amount of money the Boise Airport took in from parking stayed pretty stable over the past five years.

That?s probably due to the fact that customers who could find room only in more distant and cheaper lots before are now parking in premium spaces in the garage and outdoor lot just north of the terminal, Hupp said. But even with traffic at the airport down from its 2007-2008 peak, she said, parkers can?t find premium space one-third of the time.

At peak times, customers have to park in a satellite lot that was built in 2010 and is otherwise closed.

The chance to increase airport income through premium parking spaces is part of the reason the airport plans to expand the garage, Hupp said.

More important, she said, is the fact that officials want to make sure there?s plenty of premium parking at what they hope will become a much busier airport.

?We want to be prepared, too, for the next 20 years,? Hupp said.

Hupp said airport officials originally considered leasing some of the expansion?s space to rental car companies, but that?s not in the plans now.

On Oct. 16, the Boise City Council approved plans to sell bonds for about $15 million to finance most of the parking garage?s $18 million expansion. That action was made possible by the 2010 passage of House Joint Resolution 5, a voter-approved constitutional amendment that allows regional airport authorities in Idaho to borrow money as long as it?s repaid through airport income, not through tax allocations.

Boise resident and City Hall watchdog David Frazier fought the airport?s push to borrow money for the garage expansion in 2004, to the point of appealing to the Idaho Supreme Court when a district judge ruled that the loan should be allowed.

It was the Supreme Court?s 2006 ruling overturning the district judge?s decision that set the stage for HJR5.

Today, Frazier said, he?s made peace with the resolution and the parking garage expansion loans he opposed.

?I?m a strong advocate of power to the people,? he said. ?In this case, the power was taken away from us. But it was taken away through a vote.?

Syria commits to 4-day truce, but prospects dim

BEIRUT (AP) ? The embattled regime of Syrian President Bashar Assad promised Thursday to observe a U.N.-proposed truce during a four-day Muslim holiday, while rebels claimed major gains in the key battleground of Aleppo.

But prospects of the cease-fire taking hold are dim, given Assad's history of broken promises and the rebel momentum in Aleppo, Syria's largest city, where fighters said they advanced into several regime-held neighborhoods.

The truce plan by U.N.-Arab League envoy Lakhdar Brahimi has been endorsed by the U.N. Security Council, including Assad allies Russia and China. U.N. chief Ban Ki-moon urged all countries and groups with influence in Syria to pressure both sides to stop the violence in the civil war, his spokesman said.

The holiday cease-fire was the least a divided international community could agree on after the failure of a more ambitious plan for an open-ended truce and political transition talks by Brahimi's predecessor, Kofi Annan, in April.

Even the current truce, to begin Friday with the start of the Eid al-Adha holiday, appears in jeopardy from the outset. Neither side has shown an interest in laying down arms, instead pushing for incremental military gains.

The truce plan remained vague Thursday evening. It wasn't clear when exactly it was supposed to begin, and there were no arrangements for monitoring compliance. Brahimi never said what would happen after four days, a potentially dangerous omission considering that Assad and those trying to topple him sharply disagree on a way forward. Assad refuses to resign while the opposition says his departure is a prerequisite for talks.

"It's a longshot," Beirut-based analyst Paul Salem said of the cease-fire. "We are completely in war mode, at least for the next many months."

Both sides kept fighting into late Thursday.

In an apparent setback for the regime, activists said rebel fighters pushed into predominantly Christian and Kurdish neighborhoods in northern Aleppo that had previously been held by pro-Assad forces.

"It was a surprise," local activist Abu Raed said via Skype. "It was fast progress and in an unexpected direction."

He asked to be identified only by his nickname for fear of reprisals.

The battle for Aleppo, a former regime stronghold and Syria's business hub, has been largely deadlocked since rebels first captured parts of the city in late July. A complete rebel takeover could change the momentum of the war, although in recent months, front lines have shifted repeatedly and it was not clear if rebel fighters could maintain Thursday's gains.

Activists also reported fighting and shelling by government forces near the capital of Damascus, and scores of people were reported killed nationwide. Since the uprising against Assad began in March 2011, more than 35,000 people have been killed, including more than 8,000 government troops, according to activists.

Even as it lost some ground in Aleppo, the Assad regime said Thursday it would abide by the holiday truce. With Russia backing the truce and presumably bearing down on Damascus, such a step had been expected. Another Syria ally, Iran, welcomed what it called a "positive action" by Syria's army.

But in endorsing the plan, the Syrian military added major loopholes, saying it would respond with force not only if attacked, but if it believes opposition fighters are reinforcing positions or smuggling weapons from abroad.

The regime also accepted the previous cease-fire plan ? proposed by Annan ? which called for an open-ended truce to begin April 12. But it failed to implement major provisions, such as withdrawing troops and heavy weapons from urban centers. The truce soon collapsed.

Opposition leaders and rebel commanders dismissed Thursday's announcement by the regime as empty talk. Some said opposition fighters would halt their fire but respond if attacked by regime troops.

Gen. Mustafa al-Sheikh, a commander of the Free Syrian Army, said that "the brigades operating under the umbrella of this council will respect the cease-fire, if the regime indeed stops operations."

"However, we have experienced the regime's promises and lies before, ... Unfortunately with such dictatorial and sectarian regimes, you cannot believe such promises will be kept," he said.

The Syrian opposition is fractured and rebel fighters are organized in different groups, with rival agendas and command structures. Jabhat al-Nusra, a radical Islamic group that has been fighting alongside the rebels and has taken a lead in the battle for Aleppo, said it won't comply with the truce.

The U.S. put the onus on the Assad regime. "What we are hoping and expecting is that they will not just talk the talk of cease-fire, but that they will walk the walk, beginning with the regime," State Department spokeswoman Victoria Nuland said.

Iranian Foreign Minister Ali Akbar Salehi welcomed the cease-fire as a "positive action" in a telephone conversation with his Syrian counterpart, Walid al-Moallem, the semiofficial Fars news agency reported.

In Aleppo, it remained unclear how significant the rebels' gains were, as their forces often push into new areas only to swiftly abandon them when the regime bombs their positions.

An Aleppo activist reached via Skype said rebel fighters had seized the predominately Kurdish neighborhood of Ashrafiyeh and were pushing into Al-Siryan al-Jadideh, a nearby Christian neighborhood, where they were trying to capture a security office used as an army post.

The advance expanded the fight for Aleppo from the poorer, mostly Sunni Muslim neighborhoods on its eastern and southern sides ? where the rebels can often count on support from the local population ? into a new section of the city farther north.

The city's northwest has seen very little rebel activity since fighting in Aleppo began, and it was unclear how residents would react to the rebels, who are mostly from the countryside.

While the uprising has split Syria's Kurds between the rebels and the regime, the country's Christians have tried to remain neutral.

Abu Raed, the activist, said neither group had actively joined the uprising and that many were fleeing as the regime struck back.

"They have started leaving the neighborhoods because the shelling has started," he said.

Amateur video posted online Thursday showed gray smoke rising from a cluster of apartment buildings in Aleppo. A narrator said the video showed the aftermath of government shelling in the Midan neighborhood. In another video, a rebel fighter fired a machine gun from the back of a pickup truck before the vehicle sped off to take him out of the line of fire.

The videos appeared to be genuine, matching activist descriptions of events.

The Britain-based Syrian Observatory for Human Rights, which relies on a network of activists, said more than two dozen people were killed in the city Thursday, including eight Kurds who died when mortar rounds exploded in their neighborhood. It was unclear who fired them, it said.

The Observatory also said about 20 people were killed in shelling and clashes near Damascus, most of them in the restive suburb of Duma.

Democracy Digest ? History and truth: recognizing China&#39;s writers

Nobel Literature laureate Mo Yan wasn?t the only Chinese writer to be honored this month, writes Louisa Greve. Two other celebrated authors received international recognition for work that demonstrates a more credible and consistent affirmation of the necessity of truth and integrity ? in life as well as literature.??

The controversy over this year?s Nobel Literature honoree Mo Yan, a favorite of China?s Communist regime, ?highlights the dilemma faced by many writers across Asia, who are forced to consider the relationship between art and power on a daily basis,? notes one observer.

Mo Yan?s translator, amongst others, argue that being forced to calibrate one?s writing is just the way the system works in China and that by working within certain parameters, writers can still produce powerful work that ??originates in a strong social conscience,? and reflects beauty and imagination.??

But others note that the new laureate not simply a popular writer who wants to ?keep his head down? in order to reach readers without having his books banned. He is also the vice chairman of the government-controlled China Writers Association ? a low-profile position, to be sure, but one that clearly entails a duty to express the official party line.

When it was China?s turn to be the ?guest of honor? at the Frankfurt Book Fair in 2009, Mo joined the official delegation in walking out of a symposium that featured two dissident writers.??

?We did not come here for a lesson in democracy. Those times are over,? said the head of the delegation. ?

With predictable irony, the ruling party?s propaganda department reacted to the news of a Chinese writer receiving global recognition by ordering fresh censorship in a message from the State Council Information Office to all websites nationwide.

?In light of Mo Yan winning the Nobel prize for literature ? Be firm in removing all comments which disgrace the Party and the government, defame cultural work, mention Nobel laureates Liu Xiaobo and Gao Xingjian and associated harmful material,? it demanded.

In contrast, the most recent Chinese citizen to win a Nobel Prize, Peace Laureate Liu Xiaobo, also a writer, is serving the fourth year of an 11-year prison sentence. And his wife is suffering a similar kind of illegal imprisonment in her home ? not allowed to go out or to have visitors, subject to 24-7 surveillance with police surrounding the apartment and occasionally inside it too. Friends recently released a short video showing Liu Xia in silhouette, with her characteristic short hair, smoking a cigarette. It shows like an art film clip. If only it were art, not life: she has lived like this for 4 years with no end in sight.??

Two more writers who speak sonorously about truth and the judgment of history, both personal friends of Liu Xiaobo, were also honored recently. Liao Yiwu (above), a highly respected poet and chronicler of the downtrodden, received the Peace Prize of the German Book Trade on October 14 . He spent four years in prison for his poem ?Massacre,? which he wrote hours before the killings on Tiananmen Square in 1989. His book on Christianity?s survival under Communism offers a telling insight into the evolution of Liao?s own thinking as he simply listened to people?s stories after going to great lengths to meet people living in remote areas. Liao told Deutsche Welle.?

?Of course it?s horrible when you have to be afraid of going to jail for your work,? Liao told Deutsche Welle. ?[B]ut the greater fear is to be forgotten. If I had stopped writing, then all of my years in the labor camp would have been in vain.???

In his acceptance speech, Liao dared to touch what is probably the most lethal third rail in the long list of neuralgic topics for the ruling Communist Party ? China?s ?territorial integrity? and the ?unity of the motherland.? (The Chinese authorities recently announced draft regulations to confiscate mobile devices that display ?inaccurate? maps do not conform to the Chinese state?s territorial claims.)??

He decried the legacy of imperial conquest and subjugation that is celebrated as the foundation of greatness by authoritarian dictators throughout China?s history.

?This empire must break apart, for the sake of peace and the peace of mind of all humanity,? he declared.??

?To me, the truth comes first and then the literature,? Liao told Der Spiegel.??

Yu Jie (left), became the third Chinese writer to honored this month when he received the Train Foundation?s 2012 Civil Courage Prize on October 17 in New York. Now in exile like Liao, Yu held firm to his faith that history seeks truth as a source of hope even after he was threatened, kidnapped, and tortured for his writings.

?As an author committed to speaking the truth, even if I died, my writings would live on,? he said.

He too is considering how history will treat China?s current government.

Yu said he can?t keep quiet because ?there are far too many truths waiting to be revealed,? including the inevitability of the collapse of the Chinese Communist Tyranny.??

With so many celebrated, brave and insightful Chinese writers in exile, who should be invited to be ?guest of honor? at the 2012 London Book Fair? You guessed.

The man leading the Chinese delegation at the fair was Liu Binjie, the Minister of the General Administration for Press and Publication (Gapp) ? labeled ?China?s censor-in-chief? by critics.??

The decision outraged defenders of freedom of expression.

?We are raising our voice to protest at the co-operation of the Book Fair with Gapp, which is responsible for the imprisonment and torture of our colleagues,? said Tienchi Martin-Liao, a writer and current President of the Independent Chinese PEN Centre.

As UK-based writer Ma Jian put it, the literary world in free countries must squarely recognize that certain governments use writers ?as pawns in their political games.? When they don?t, he continues, it makes you wonder who will the organizers of these literary fairs will invite as guest of honor next ? Iran???

Mayor McGinn's on Today's City Council Police Monitor Coup: "We believe that their vote was a mistake..."

At a little after 5:00 p.m. this evening, Mayor Mike McGinn released a statement acquiescing to the Seattle City Council's decision to hire Merrick Bobb, a man with 20 years of experience in police reform and use-of-force, as the man to monitor Seattle's journey to police reform. Here's the backstory, if you have no idea what the fuck I'm jabbering on about, and here's Mayor Mike McGinn's concessionary statement:

We know from the experience of other cities that reform efforts are successful when the police force buys in to the effort. Our office and others expressed concerns that Mr. Bobb would not be seen as an impartial monitor of our settlement agreement with the Department of Justice. We are disappointed that the Council did not listen to those concerns and that our reform efforts may prove more difficult as a result of their vote. We believe that their vote was a mistake, but respect that this is now the City?s position. Going forward, the mayor will roll up his sleeves and continue to work with all stakeholders to implement reform in our police force.

Top BBC editor steps aside during Savile probe

LONDON (AP) ? A top BBC editor stepped aside Monday while the BBC reviews its editorial decision to pull the plug on a segment about sexual abuse allegations against a prominent U.K. children's television star, the late Jimmy Savile.

The broadcaster said Monday the editor of the "Newsnight" program that opted not to broadcast the allegations, Peter Rippon, is "stepping aside with immediate effect."

The BBC says Rippon's explanation of his decision in a blog post earlier was "inaccurate or incomplete in some respects."

He is the first BBC figure directly blamed for the broadcaster's failure to properly report on abuse claims against Savile, who died last year at the age of 84 after a long career in children's television.

The BBC is facing criticism for providing different explanations for pulling the December segment that would have lifted the veil on Savile's abusive history, which had been rumored but not reported on at the time.

Savile hosted the music program "Top of the Pops" and "Jim'll Fix It." He was also active in numerous charities.

The BBC is set to air its own investigation of its failure to report on Savile's sexual abuses Monday night on the "Panorama" show.

On the show set for broadcast Monday, BBC correspondents claim the Savile segment was pulled because of pressure from senior management.

The fallout and allegations of a cover-up have damaged the BBC's reputation, and Savile's actions are also being investigated by police and other agencies.

Police say there may be more than 200 potential victims of the entertainer, known for his garish track suits and platinum hair.

Candidates seek foreign policy edge in 3rd debate

(AP) ? Still neck-and-neck after all these months, Barack Obama and Mitt Romney head into their third and final debate with each man eager to project an aura of personal strength and leadership while raising doubts about the steadiness and foreign policy credentials of the other guy.

Each is aiming for a commanding performance Monday to settle the seesaw dynamics of the first two debates: Romney gave Obama an old-fashioned shellacking in the first round, and the chastened president rebounded in their second encounter.

The 90-minute faceoff at Lynn University in Boca Raton, Fla., offers the candidates their last opportunity to stand one-on-one before tens of millions of Americans and command their undivided attention before next month's election. Both candidates largely dropped out of sight and devoted their weekends to debate preparations, a sure sign of the high importance they attach to the event.

While the principals warm up for their evening debate in the battleground state of Florida, their running mates will be busy Monday seeking votes in two of the eight other states whose up-for-grabs electoral votes will determine the next president ? Vice President Joe Biden in Ohio and Republican Rep. Paul Ryan in Colorado. Also still hotly contested: Iowa, New Hampshire, Nevada, North Carolina, Wisconsin and Virginia.

Deputy campaign manager Stephanie Cutter said Monday that "it really now comes down to that small segment of undecided voters."

Appearing on NBC's "Today" show, Cutter said, "The ground game is incredibly important at this point. We feel pretty good about where we are."

Hours before the debate was to begin, the Obama campaign announced it was running a new television ad in the debate state of Florida with a rare focus on foreign policy. Most other television spots have been on economic and other domestic issues. The ad talked about the costs of the past decade of war over an image of a soldier with a prosthetic leg. It pointed out that Obama ended the war in Iraq and said Romney would have kept forces in the country longer to help with the transition.

Campaign surrogates went on Sunday talk shows to frame the foreign policy matters that moderator Bob Schieffer will put before the candidates in a discussion sure to reflect "how dangerous the world is in which we live," as the CBS newsman put it. Iran's nuclear intentions, the bloody crackdown in Syria, security concerns in Afghanistan, China's growing power ? all that and more are on the agenda.

Biden told voters during a campaign stop in Canton, Ohio, that the debates are showing the profoundly different visions each ticket has for leading the country, including the U.S. military presence in Afghanistan.

"We will leave Afghanistan in 2014, period. They say it depends," Biden said. "Ladies and gentlemen, like everything with them, it depends. It depends on what day you find these guys."

On Iran, senior Romney campaign foreign policy adviser Dan Senor said on NBC Monday that Romney's approach is that "we've got to reach a diplomatic solution." He said the Obama administration's policy on Iran for the past four years has not discouraged Tehran from moving forward with its nuclear ambitions.

On Libya, Senor said "they didn't have the proper security" at the U.S. Consulate in Benghazi where Ambassador Christopher Stevens and three other Americans were killed on Sept. 11.

The series of interviews Sunday and Monday fed into the broader debate over which candidate offers the steady hand and sound judgment for a nation facing myriad challenges at home and abroad.

Florida Sen. Marco Rubio, arguing for the Republicans, faulted Obama for "his failure to outline broad goals, real goals, a real view of what America's role in the world should be." Romney, by contrast, would "use America's role in the world as a catalyst for peace, prosperity and freedom," he said.

Ryan, campaigning in Colorado Springs, Colo., on Sunday, faulted the president for potential defense cuts and said that when adversaries "see us projecting weakness, when they see us hollowing out our military ... they think we are a superpower in decline." It was a likely preview of one of Romney's arguments in the debate.

Obama campaign adviser David Axelrod said that when the president took office "we were isolated in our position on Iran and in the world. And today, the world is unified against Iran with us, all because of the leadership of this president."

The Obama campaign released a blistering memo from Senate Foreign Relations Committee Chairman John Kerry, D-Mass., accusing Romney of offering nothing but "endless bluster" on international issues.

"He is an extreme and expedient candidate who lacks the judgment and vision so vital for the Oval Office," said Kerry, who is considered a leading candidate to succeed Hillary Rodham Clinton as secretary of state if Obama wins a second term.

When it comes to their foreign policy credentials, both candidates have reasons for optimism and concern: While foreign policy has been a strength of Obama throughout the campaign, some recent polls show his advantage narrowing. The Pew Research Center's October poll, for example, found that 47 percent of Americans favored Obama to make "wise decisions about foreign policy," while 43 percent preferred Romney.

American University professor Jordan Tama said the difficult trick for Romney in the debate will be to challenge Obama on foreign policy without looking like he's criticizing the commander in chief, which can be off-putting to voters. Obama, for his part, must make the case that his policies are sound and his leadership strong despite ongoing challenges around the world, including unrest in the Middle East and the chaotic situation in Libya.

While foreign policy has been overshadowed during this campaign by concerns about the domestic economy and jobs at home, everything matters in a race this tight. A Wall Street Journal/NBC News poll released Sunday showed each candidate favored by 47 percent of likely voters, reflecting a boost of support for Romney following his strong performance in the first debate in early October.

With early voting under way in many states, there is precious little time for the candidates to break loose. More than 4 million Americans already have voted.

Once upon a time, standing around and waiting involved exactly that: Standing around, waiting, and not doing much else. Today, any free moment is spent facedown in a phone. Stop reading this on your own phone. Right now. Look around. At this moment, you should be the only person, anywhere in sight, not looking at a phone.

But staring at that phone isn't the only way to wait. You can do other stuff. In fact, there are exactly six things you can do instead.

Make eye contact
People used to do this all the time. You could recognize a neighbor or share a moment with an attractive stranger. It can still happen???but you have to be careful. You don't want to be caught staring right at the moment that person looks up from his (or especially her) phone. Wait until the fleeting few seconds when this person looks away from the phone for some reason, then casually lock eyes. Smile! It will seem a lot less weird that way. When you get back online, this kind of encounter is a great thing to put on Craigslist as a Missed Connection.

Talk about the weather
This is a classic. If you're new at it, try some established introductory phrases.

  • "This is some rain!"
  • "Hot enough for ya?"
  • "They say it's gonna turn cold tomorrow!"

Watch them form new shapes. See the shapes begin to arrange themselves, rotating, and falling into position. So chaotic, yet so organized. You know what? This calls for a quick game of "Tetris."

This is an endlessly fascinating sociological exercise, and it can also give you fresh ideas about what you could be doing on your own phone. A scouting report from a recent bus ride:

(AP) ? A new White House executive order would direct U.S. spy agencies to share the latest intelligence about cyberthreats with companies operating electric grids, water plants, railroads and other vital industries to help protect them from electronic attacks, according to a copy obtained by The Associated Press.

The seven-page draft order, which is being finalized, takes shape as the Obama administration expresses growing concern that Iran could be the first country to use cyberterrorism against the United States. The military is ready to retaliate if the U.S. is hit by cyberweapons, Defense Secretary Leon Panetta said. But the U.S. also is poorly prepared to prevent such an attack, which could damage or knock out critical services that are part of everyday life.

The White House declined to say when the president will sign the order.

The draft order would put the Department of Homeland Security in charge of organizing an information-sharing network that rapidly distributes sanitized summaries of top-secret intelligence reports about known cyberthreats that identify a specific target. With these warnings, known as tear lines, the owners and operators of essential U.S. businesses would be better able to block potential attackers from gaining access to their computer systems.

An organized, broad-based approach for sharing cyberthreat information gathered by the government is widely viewed as essential for any plan to protect U.S. computer networks from foreign nations, terrorist groups and hackers. Existing efforts to exchange information are narrowly focused on specific industries, such as the finance sector, and have had varying degrees of success.

Yet the order has generated stiff opposition from Republicans on Capitol Hill who view it as a unilateral move that bypasses the legislative authority held by Congress.

Administration officials said the order became necessary after Congress failed this summer to pass cybersecurity legislation, leaving critical infrastructure companies vulnerable to a serious and growing threat. Conflicting bills passed separately by the House and Senate included information-sharing provisions. But efforts to get a final measure through both chambers collapsed over the GOP's concerns that the Senate bill would expand the federal government's regulatory power and increase costs for businesses.

The White House has acknowledged that an order from the president, while legally binding, is not enough. Legislation is needed to make other changes to improve the country's digital defenses. An executive order, for example, cannot offer a company protection from liabilities that might result from a cyberattack on its systems.

The addition of the information-sharing provisions is the most significant change to an earlier draft of the order completed in late August. The new draft, which is not dated, retains a section that requires Homeland Security to identify the vital systems that, if hit by cyberattack, could "reasonably result in a debilitating impact" on national and economic security. Other sections establish a program to encourage companies to adopt voluntary security standards and direct federal agencies to determine whether existing cyber security regulations are adequate.

The draft order directs the department to work with the Pentagon, the National Security Agency, the director of national intelligence and the Justice Department to quickly establish the information-sharing mechanism. Selected employees at critical infrastructure companies would receive security clearances allowing them to receive the information, according to the document. Federal agencies would be required to assess whether the order raises any privacy or civil liberties risks.

To foster a two-way exchange of information, the government would ask businesses to tell the government about cyberthreats or cyberattacks. There would be no requirement to do so.

The NSA has been sharing cyberthreat information on a limited basis with companies that conduct business with the Defense Department. These companies work with sensitive data about weapon systems and technologies and are frequently the targets of cyberspying.

But the loss of valuable information has been eclipsed by fears that an enemy with the proper know-how could cause havoc by sending the computers controlling critical infrastructure systems incorrect commands or infecting them with malicious software. Potential nightmare scenarios include high-speed trains being put on collision courses, blackouts that last days or perhaps even weeks or chemical plants that inadvertently release deadly gases.

Panetta underscored the looming dangers during a speech last week in New York by pointing to the Shamoon virus that destroyed thousands of computer systems owned by Persian Gulf oil and gas companies. Shamoon, which spreads quickly through networked computers and ultimately wipes out files by overwriting them, hit the Saudi Arabian state oil company Aramco and Qatari natural gas producer RasGas.

Panetta did not directly connect Iran to the Aramco and RasGas attacks. But U.S. officials believe hackers based in Iran were behind them.

Shamoon replaced files at Aramco with the image of a burning U.S. flag and rendered more than 30,000 computers useless, Panetta said. The attack on RasGas was similar, he said.

A spokeswoman for the National Security Council, Caitlin Hayden, said the administration is consulting with members of Congress and the private sector as the order is being drafted. But she provided no information on when an order would be signed. "Given the gravity of the threats we face in cyberspace, we want to get this right in addition to getting it done swiftly," she said.
